Job Description
As an Assistant Company Secretary, you will support the Company Secretary and work with other team members to put in place appropriate corporate governance systems and controls, and to promote high standards of governance. You will be supporting the management and organisation of all board processes and statutory reporting requirements and support the Group's directors with corporate governance and related matters.

As an Assistant Company Secretary, we are looking for someone to: Assist with arrangements for board meetings, including the preparation of agendas with internal stakeholders, the provision of timely information to board members in advance of board meetings as well as the preparation and circulation of minutes and actions from board and committee meetings in line with internal processes and SLAs
Monitor and record progress against and closure of board and committee actions
Support the Company Secretary to ensure that board and committee decisions are communicated appropriately and that here is a good flow of information between the board and board committees
Act as a source of support to all directors (especially non-executive directors). Alert the Company Secretary to any matter where the board may be in breach of corporate governance best practice
Support the Company Secretary in their duty to inform the Group's directors of restrictions and responsibilities imposed upon them by either the Company, legislation or any regulatory bodies (e.g. FCA)
Keep up to date with changes to relevant regulation and legislation (e.g. Companies Act), assess the impact of changes and inform the Company Secretary so that they can ensure any changes are communicated to the Group's directors, implemented fully and in a timely manner
Support the Company Secretary with the preparation of the necessary disclosures on corporate governance in the Group's Annual Report and Accounts and relevant subsidiary Accounts as required
Qualifications
Essential
Experience of working as part of a Co Sec team
Ability to work with people at all levels including C-Suite
Experience in Financial Services would be nice, but it's NOT essential.
Experience of attending board and committee meetings and preparing accurate and concise minutes.
Working knowledge of relevant corporate governance standards (e.g. UK Corporate Governance Code, Wates Principles)
Good knowledge of Company Law
